These Terms of Use (\"Terms\") govern your access to and use of <strong>IDFSBA.com<\/strong> and any IDF-SBA service that links to or expressly incorporates these Terms.<\/p>\n\n<p>Please read these Terms together with our <a href=\"\/nonprofits\/privacy\/\">Privacy Policy<\/a> and <a href=\"\/nonprofits\/disclosures\/\">Program &amp; Funding Disclosures<\/a>. Specific grants, memberships, technology services, purchases, events or third-party offers may have additional terms. When additional terms apply, they become part of your agreement with IDF-SBA for that particular program or service.<\/p>\n\n\n<div class=\"idf-arb-notice\">\n  <strong>IMPORTANT DISPUTE-RESOLUTION NOTICE<\/strong>\n  <p>THIS AGREEMENT INCLUDES A BINDING INDIVIDUAL ARBITRATION AGREEMENT, A CLASS AND REPRESENTATIVE ACTION WAIVER, AND A JURY-TRIAL WAIVER. EXCEPT FOR ELIGIBLE SMALL-CLAIMS MATTERS, CERTAIN REQUESTS FOR COURT RELIEF DESCRIBED BELOW, OR WHERE APPLICABLE LAW REQUIRES OTHERWISE, YOU AND IDF-SBA AGREE TO RESOLVE COVERED DISPUTES THROUGH INDIVIDUAL ARBITRATION ADMINISTERED BY JAMS RATHER THAN IN COURT.<\/p>\n  <p>You may opt out of the arbitration, class-action waiver and jury-trial waiver provisions by sending a written opt-out notice within 30 days after you first accept these Terms, as explained in Section 16.<\/p>\n<\/div>\n\n<div class=\"idf-legal-toc\">\n  <strong>Contents<\/strong>\n  <a href=\"#agreement\">1. Agreement to These Terms<\/h2>\n\n<p>By accessing or using the Site or an IDF-SBA service, creating an account, submitting an application or order, or clicking an acceptance button where one is presented, you agree to these Terms. If you do not agree, do not use the applicable Site or service.<\/p>\n\n<p>You must be at least 18 years old to create an account, enter into a paid transaction, submit an organizational application or otherwise enter into an agreement with IDF-SBA. If you act on behalf of a nonprofit, company or other legal entity, you represent that you have authority to act for and bind that organization with respect to the activity you undertake. <strong>When you accept these Terms for or in connection with an organization, these Terms apply both to you in your individual capacity to the extent applicable and to the organization you represent or that receives or benefits from the applicable IDF-SBA services, programs, grants, memberships, technology, resources or other support.<\/strong><\/p>\n\n<h2 id=\"authority\">2. Eligibility, Authority and Organization Validation<\/h2>\n\n<p>IDF-SBA may require information or documentation to confirm an organization's identity, tax-exempt status, charitable status, legal status, address, leadership, authority, program eligibility or other relevant facts. We may also compare submitted information with public records or information from lawful third-party sources.<\/p>\n\n<p><strong>Validation of an organization does not automatically make that organization eligible for every IDF-SBA or third-party program.<\/strong> Each grant, offer, membership benefit, technology service or other program may have separate eligibility rules, geographic restrictions, application periods, available quantities, funding limits or other requirements.<\/p>\n\n<p>You agree not to misrepresent your identity, authority, organization, tax status, eligibility, affiliations, programs, finances or any other material fact. IDF-SBA may request additional information, decline or suspend validation, or revoke access to a program when submitted information is inaccurate, incomplete, unverifiable, misleading or no longer current.<\/p>\n\n<h2 id=\"accounts\">3. Accounts and Information You Provide<\/h2>\n\n<p>Some services may require an account. You agree to provide accurate, complete and current information and to keep it updated. You are responsible for activity occurring through your account and for maintaining the confidentiality of passwords, authentication credentials and other access information.<\/p>\n\n<p>You may not share credentials in a manner that defeats account limits or access restrictions, create accounts using false information, impersonate another person or organization, or access another user's account without authorization.<\/p>\n\n<p>If you invite team members, add organization contacts or otherwise provide information about another person, you represent that you are authorized to provide the information for the applicable purpose.<\/p>\n\n<p>Please notify IDF-SBA promptly if you believe an account or credential has been compromised.<\/p>\n\n<h2 id=\"programs\">4. Grants, Support Programs and Program Eligibility<\/h2>\n\n<p>IDF-SBA programs may include cash grants, in-kind grants, products, services, technology, credits, discounts, training, communications support, professional services, referrals or other forms of assistance. The nature, amount and availability of support varies by program.<\/p>\n\n<p>Applying for, qualifying for or receiving one form of support does not guarantee eligibility for another. Unless a program expressly states otherwise, applications are subject to the published program rules, verification requirements, available resources and applicable deadlines in effect when the application is reviewed or fulfilled.<\/p>\n\n<p>IDF-SBA may establish reasonable limits on the number, frequency, value or type of benefits available to an organization or associated organizations. Benefits may not be transferred, resold, exchanged for cash or used for an unauthorized commercial purpose unless the applicable program expressly permits it.<\/p>\n\n<p>Membership or purchase is not required to apply for the IDF-SBA YES Grant and does not determine approval of a YES Grant application. Other programs or benefits may have their own participation requirements. See our <a href=\"\/nonprofits\/disclosures\/\">Program &amp; Funding Disclosures<\/a> for additional information about current funding and support claims.<\/p>\n\n<h2 id=\"third-parties\">5. Third-Party Programs, Offers and Services<\/h2>\n\n<p>IDF-SBA may identify, describe, link to, integrate with or help organizations pursue grants, Corporate Community Funding Programs (CCFPs), software donations, nonprofit discounts, corporate programs and other opportunities offered by independent third parties.<\/p>\n\n<p>Third-party programs are controlled by their respective providers. Unless IDF-SBA expressly states otherwise in writing, we do not control their eligibility rules, application decisions, award amounts, availability, deadlines, product functionality, pricing, fulfillment, privacy practices or continued operation.<\/p>\n\n<p>An organization's interaction or transaction with a third party is between that organization and the third party. Third-party names, trademarks and program information remain the property of their respective owners. Reference to a third party does not by itself mean that the third party sponsors, endorses or is formally affiliated with IDF-SBA.<\/p>\n\n<p>Program information can change. You are responsible for reviewing the provider's current terms, eligibility requirements and instructions before relying on or applying for a third-party opportunity.<\/p>\n\n<h2 id=\"payments\">6. Memberships, Purchases, Billing and Renewals<\/h2>\n\n<p>Some IDF-SBA products, memberships or services may require payment. Prices, included services, billing frequency, renewal terms and any applicable cancellation or refund terms will be disclosed at or before purchase.<\/p>\n\n<p>If you select a recurring membership or service, you authorize IDF-SBA or its payment processor to charge the payment method you provide at the disclosed interval until the recurring service is canceled in accordance with the terms presented at purchase.<\/p>\n\n<p>Fees may change for future purchases or renewal periods. Any change affecting a recurring charge will be handled in accordance with applicable law and the terms disclosed for that service.<\/p>\n\n<p>You are responsible for applicable taxes, shipping charges or other charges identified before purchase. Payment processing may be performed by independent payment providers and may also be subject to their terms and privacy policies.<\/p>\n\n<p>Unless a specific offer says otherwise, purchasing a product, service or membership does not guarantee grant approval, outside funding, a particular fundraising result, organizational growth or any other financial outcome.<\/p>\n\n<h2 id=\"conduct\">7. Acceptable Use and Site Conduct<\/h2>\n\n<p>You agree to use the Site and IDF-SBA services lawfully and responsibly. You may not:<\/p>\n\n<ul>\n  <li>provide false, fraudulent, misleading or materially incomplete information;<\/li>\n  <li>impersonate another person or organization or falsely claim authority or affiliation;<\/li>\n  <li>attempt to obtain a grant, benefit, discount, membership privilege or other resource for which you know you are not eligible;<\/li>\n  <li>transfer, resell or commercially exploit a restricted grant or benefit contrary to its program terms;<\/li>\n  <li>upload or transmit malware, malicious code or material designed to disrupt, damage or gain unauthorized access to systems or data;<\/li>\n  <li>probe, scan, bypass or interfere with security, authentication, rate limits, access controls or technical restrictions;<\/li>\n  <li>scrape, harvest or collect user information except as expressly permitted by law and by IDF-SBA;<\/li>\n  <li>use the Site to send spam, deceptive communications or unlawful solicitations;<\/li>\n  <li>post or transmit content that is unlawful, fraudulent, defamatory, threatening, harassing, obscene, infringing or otherwise violates the rights of another person;<\/li>\n  <li>copy, reverse engineer, reproduce, distribute, sell or exploit IDF-SBA technology, training, databases or proprietary materials except as expressly authorized;<\/li>\n  <li>interfere with another person's use of the Site or with the operation, integrity or security of an IDF-SBA service;<\/li>\n  <li>use the Site or services in violation of applicable law or regulation.<\/li>\n<\/ul>\n\n<h2 id=\"content\">8. Content You Submit<\/h2>\n\n<p>You retain ownership of content that you own and submit to IDF-SBA, such as organization descriptions, logos, photographs, videos, documents, testimonials and other materials (\"User Content\").<\/p>\n\n<p>You grant IDF-SBA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format and otherwise use User Content as reasonably necessary to provide the service, process the application, fulfill the request or perform the purpose for which you submitted it.<\/p>\n\n<p>If you specifically submit or authorize content for public use, promotion, recognition, a directory, a success story, testimonial, media announcement or similar purpose, you also grant IDF-SBA permission to publish, display, reproduce and distribute that authorized content in connection with IDF-SBA's programs and communications.<\/p>\n\n<p>You represent that you have the rights and permissions necessary to submit User Content and grant the rights described above. You are responsible for the accuracy, legality and appropriateness of the content you provide.<\/p>\n\n<p>IDF-SBA may remove User Content that violates these Terms, program rules, applicable law or the rights of others.<\/p>\n\n<h2 id=\"intellectual-property\">9. IDF-SBA Intellectual Property<\/h2>\n\n<p>The Site and IDF-SBA-created content, including text, designs, graphics, logos, program names, training materials, databases, software, templates, downloads, videos and other materials, are owned by or licensed to IDF-SBA and are protected by applicable intellectual-property laws.<\/p>\n\n<p>Except where we expressly grant permission, you may not reproduce, republish, distribute, sell, sublicense, modify, create derivative commercial products from or otherwise exploit IDF-SBA proprietary materials.<\/p>\n\n<p>Resources expressly identified as downloadable, reusable or licensed for organizational use may be used within the scope of the permission accompanying that resource. No other rights are implied.<\/p>\n\n<p>Feedback, suggestions and ideas voluntarily provided to IDF-SBA may be used by IDF-SBA without restriction or compensation, provided that we do not thereby acquire ownership of your pre-existing intellectual property.<\/p>\n\n<h2 id=\"availability\">10. Availability, Changes and Termination<\/h2>\n\n<p>IDF-SBA may modify, suspend, replace or discontinue a Site feature, technology service, membership feature, resource or program when reasonably necessary, including because of maintenance, security, provider changes, funding or inventory limits, legal requirements or changes in organizational priorities.<\/p>\n\n<p>We may restrict, suspend or terminate access to an account, program or service when we reasonably believe these Terms or program rules have been violated, information is fraudulent or misleading, use creates a security or legal risk, payment remains unpaid where payment is required, or continued access could harm IDF-SBA or others.<\/p>\n\n<p>Where practical and appropriate, we may provide notice or an opportunity to correct an issue. Nothing in these Terms requires IDF-SBA to continue a grant cycle, program, third-party offer or no-cost service indefinitely.<\/p>\n\n<p>Provisions that by their nature should survive termination, including intellectual-property provisions, disclaimers, liability limitations, indemnification and governing-law provisions, remain effective after termination.<\/p>\n\n<h2 id=\"information\">11. Information and Professional Advice<\/h2>\n\n<p>IDF-SBA provides information, training, tools and practical assistance intended to help organizations discover opportunities, improve funding readiness, reduce operating costs and pursue support. Information provided through the Site is general in nature unless a specific written engagement expressly provides otherwise.<\/p>\n\n<p>IDF-SBA does not provide legal, tax, accounting, investment or other licensed professional advice through general Site content. You should consult an appropriately qualified professional regarding decisions requiring such advice.<\/p>\n\n<p>Funding opportunities, eligibility requirements, corporate programs, laws, platform rules and third-party information may change. We make reasonable efforts to provide useful information, but you remain responsible for confirming material facts before acting on them.<\/p>\n\n<h2 id=\"warranties\">12. Disclaimer of Warranties<\/h2>\n\n<p><strong>TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SITE CONTENT AND IDF-SBA SERVICES ARE PROVIDED \"AS IS\" AND \"AS AVAILABLE.\"<\/strong><\/p>\n\n<p>IDF-SBA does not warrant that every service will be uninterrupted, error-free, continuously available or free of harmful components, or that every piece of information will always be complete, current or accurate. We do not warrant that use of the Site or an IDF-SBA service will result in funding, grant approval, revenue, savings, fundraising success, organizational growth or any particular outcome.<\/p>\n\n<p>To the maximum extent permitted by law, IDF-SBA disclaims implied warranties including merchantability, fitness for a particular purpose, title and non-infringement. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.<\/p>\n\n<h2 id=\"liability\">13. Limitation of Liability<\/h2>\n\n<p><strong>TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDF-SBA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AFFILIATES AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, FUNDING OPPORTUNITIES OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE, A PROGRAM, A SERVICE OR THESE TERMS.<\/strong><\/p>\n\n<p>To the maximum extent permitted by applicable law, IDF-SBA's aggregate liability arising from or relating to a paid product or service will not exceed the amount you actually paid to IDF-SBA for the specific product or service giving rise to the claim during the twelve months preceding the event giving rise to the claim. For a no-cost Site feature or no-cost service, IDF-SBA's aggregate liability will not exceed one hundred U.S. dollars (US $100).<\/p>\n\n<p>The limitations in this section apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose, except to the extent a limitation is prohibited by applicable law.<\/p>\n\n<h2 id=\"indemnification\">14. Indemnification<\/h2>\n\n<p>To the extent permitted by law, you agree to defend, indemnify and hold harmless IDF-SBA and its directors, officers, employees, contractors, volunteers and affiliates from claims, liabilities, damages, judgments, losses, costs and reasonable legal fees arising from or relating to your material violation of these Terms, your unlawful use of the Site or services, your User Content, your misrepresentation of authority or eligibility, or your infringement of another person's rights.<\/p>\n\n<p>This provision does not require indemnification to the extent a claim results from IDF-SBA's own conduct for which indemnification cannot lawfully be required.<\/p>\n\n<h2 id=\"copyright\">15. Copyright and Rights Complaints<\/h2>\n\n<p>If you believe material appearing on the Site infringes your copyright, trademark or other rights, please contact IDF-SBA through the <a href=\"\/nonprofits\/contact\/\">Contact<\/a> page and provide enough information for us to identify the material, understand the claimed right and respond appropriately.<\/p>\n\n<p>We may remove or restrict access to material that we reasonably believe infringes another person's rights and may terminate repeat infringers when appropriate.<\/p>\n\n\n<h2 id=\"arbitration\">16. Dispute Resolution, Arbitration, Class Action and Jury Waiver<\/h2>\n\n<p><strong>Please read this section carefully. It affects important legal rights.<\/strong> IDF-SBA intends this dispute-resolution process to provide a fair and efficient way for both sides to resolve disagreements while preserving rights and remedies available under applicable law.<\/p>\n\n<h3>16.1 Informal Notice and Good-Faith Resolution<\/h3>\n\n<p>Before either party begins arbitration, the party asserting a dispute must provide the other party with written notice describing the nature of the dispute, the relevant facts, the relief requested and sufficient contact information to permit a response. Notice to IDF-SBA must be mailed to:<\/p>\n\n<p><strong>International Development Fund for Social Benefit Assistance (IDF-SBA)<\/strong><br>\n447 Broadway, Floor 2, Unit #1041-EV<br>\nNew York, NY 10013<\/p>\n\n<p>IDF-SBA may provide notice to you using the mailing address or email address associated with your account, application, purchase or other interaction with us. The parties will have at least 30 days after receipt of a dispute notice to attempt in good faith to resolve the matter before arbitration is filed, unless waiting would cause a claim to expire or applicable law requires otherwise.<\/p>\n\n<h3>16.2 Binding Individual Arbitration Through JAMS<\/h3>\n\n<p>Except for disputes excluded below, you and IDF-SBA agree that any claim or dispute arising out of or relating to these Terms, the Site, an IDF-SBA account, application, grant, membership, purchase, technology service, resource, program, communication or other relationship with IDF-SBA will be resolved by <strong>final and binding individual arbitration administered by JAMS<\/strong> under the JAMS rules applicable to the dispute then in effect.<\/p>\n\n<p>The Federal Arbitration Act, 9 U.S.C. Sections 1-16, governs the interpretation and enforcement of this arbitration agreement to the fullest extent applicable. The arbitrator, and not a judge or jury, will decide the merits of covered disputes and may award any individual remedy or relief that would otherwise be available under applicable law, subject to these Terms and applicable law.<\/p>\n\n<p>The arbitrator will be neutral. Each side will have a reasonable opportunity to participate in selecting the arbitrator, present evidence, exchange relevant non-privileged information, be represented by counsel at its own expense, and receive a written award stating the disposition of the claims and the essential findings and conclusions on which the award is based.<\/p>\n\n<h3>16.3 JAMS Consumer Minimum Standards<\/h3>\n\n<p>If JAMS determines that its Consumer Arbitration Minimum Standards apply to a dispute, those standards are incorporated into this agreement and will control over any inconsistent provision in these Terms. This agreement is intended to be mutually binding, preserve access to eligible small-claims court, preserve remedies available under applicable law, provide a neutral arbitrator and meaningful participation, permit appropriate discovery and allocate arbitration fees as required by JAMS.<\/p>\n\n<p>IDF-SBA will pay arbitration fees and costs to the extent required by applicable law or the JAMS Consumer Arbitration Minimum Standards. Nothing in these Terms requires a consumer to pay fees greater than JAMS permits for a consumer arbitration.<\/p>\n\n<h3>16.4 Location and Manner of Arbitration<\/h3>\n\n<p>The legal seat and contractual venue for arbitration will be <strong>New York County, New York<\/strong>, except where applicable law or JAMS consumer-fairness requirements require otherwise. Hearings may be conducted in person, by video, by telephone or through written submissions as permitted by JAMS and the arbitrator. No hearing-location requirement will be applied in a manner that improperly prevents a consumer from meaningfully participating in arbitration.<\/p>\n\n<h3>16.5 Small-Claims and Limited Court Exceptions<\/h3>\n\n<p>Either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies and remains within that court's jurisdiction. A small-claims matter must proceed only on an individual basis.<\/p>\n\n<p>Either party may also seek temporary or preliminary court relief when reasonably necessary to preserve the status quo, prevent imminent irreparable harm, protect intellectual-property rights, prevent unauthorized access to or misuse of systems or confidential information, or preserve the ability of arbitration to provide meaningful relief. Seeking such limited relief does not waive arbitration of the underlying covered dispute.<\/p>\n\n<h3>16.6 No Class, Collective or Representative Proceedings<\/h3>\n\n<p><strong>YOU AND IDF-SBA AGREE THAT COVERED CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED OR REPRESENTATIVE ACTION OR PROCEEDING.<\/strong><\/p>\n\n<p>Unless both parties expressly agree in writing or applicable law requires otherwise, an arbitrator may not combine the claims of different persons or organizations into a single merits proceeding, certify or preside over a class or representative proceeding, or award relief for or against anyone who is not an individual party to the arbitration.<\/p>\n\n<p>If a final judicial decision determines that the waiver in this Section cannot lawfully be enforced as to a particular claim or request for relief, that claim or request for relief will proceed in a court of competent jurisdiction to the extent required by law, while all arbitrable claims remain subject to arbitration to the fullest extent permitted.<\/p>\n\n<h3>16.7 Mass Arbitration Procedures<\/h3>\n\n<p>If 75 or more substantially similar individual arbitration demands are asserted against the same party or related parties and the claimants are represented by the same counsel or coordinated counsel, the parties agree that the <strong>JAMS Mass Arbitration Procedures and Guidelines<\/strong> then in effect will apply.<\/p>\n\n<p>Those procedures may include appointment of a Process Administrator and administrative batching, grouping, consolidation or coordination of demands for case-management purposes as permitted by JAMS. Nothing in this paragraph authorizes class arbitration or converts an individual claim into a class, collective or representative claim. Each claimant must individually satisfy applicable filing, notice and authorization requirements.<\/p>\n\n<h3>16.8 Jury-Trial Waiver<\/h3>\n\n<p><strong>TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND IDF-SBA KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE COVERED BY THIS ARBITRATION AGREEMENT.<\/strong> For any dispute that lawfully proceeds in court rather than arbitration, the jury-trial waiver applies to the fullest extent permitted by applicable law.<\/p>\n\n<h3>16.9 Arbitration, Class-Action and Jury-Waiver Opt-Out<\/h3>\n\n<p>You may opt out of Sections 16.2 through 16.8 by mailing a written opt-out notice that is <strong>postmarked within 30 days after the date you first accept these Terms<\/strong>. The notice must include your full name, mailing address, email address used with IDF-SBA, the name of any organization on whose behalf you accepted these Terms, and a clear statement that you are opting out of the IDF-SBA arbitration agreement, class-action waiver and jury-trial waiver.<\/p>\n\n<p>Mail the notice to:<\/p>\n\n<p><strong>IDF-SBA - Arbitration Opt-Out<\/strong><br>\n447 Broadway, Floor 2, Unit #1041-EV<br>\nNew York, NY 10013<\/p>\n\n<p>If you accepted these Terms on behalf of an organization and have authority to opt out for that organization, the notice must clearly identify the organization. A timely and valid opt-out affects only the dispute-resolution provisions identified above. All other provisions of these Terms remain in effect. <strong>Opting out will not affect eligibility for an IDF-SBA program, grant, membership, product or service.<\/strong><\/p>\n\n<h3>16.10 Existing Disputes and Prior Agreements<\/h3>\n\n<p>This arbitration provision applies prospectively from the date you accept the version of these Terms containing it. It does not retroactively alter the dispute-resolution terms governing a dispute that had already been formally asserted before your acceptance of this version, unless the parties separately agree in writing.<\/p>\n\n<h3>16.11 Severability of Arbitration Terms<\/h3>\n\n<p>Except as specifically provided regarding the class and representative-action waiver, if part of this Section 16 is found unenforceable, the remainder will be enforced to the fullest extent permitted by law. If the arbitration agreement as a whole cannot lawfully be enforced as to a particular dispute, that dispute will proceed under Section 17.<\/p>\n\n<h2 id=\"law\">17. Governing Law and Venue<\/h2>\n\n<p>These Terms and disputes arising from or relating to these Terms, the Site or IDF-SBA services will be governed by the laws of the State of New York, without regard to conflict-of-law principles, except where the Federal Arbitration Act or other applicable federal law governs or applicable law requires otherwise.<\/p>\n\n<p>For any dispute, claim or proceeding that is not subject to arbitration, is properly excluded from arbitration, or is brought to enforce, confirm, modify or vacate an arbitration award, you and IDF-SBA agree to the exclusive jurisdiction and venue of the state and federal courts of competent jurisdiction located in <strong>New York County, New York<\/strong>, except for an eligible small-claims action or where applicable law requires a different forum.<\/p>\n\n<h2 id=\"general\">18. General Terms<\/h2>\n\n<p>These Terms, together with the Privacy Policy, Program &amp; Funding Disclosures and any applicable program-specific or purchase-specific terms, constitute the agreement governing your use of the applicable IDF-SBA service.<\/p>\n\n<p>If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. IDF-SBA's failure to enforce a provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without IDF-SBA's written consent, except where applicable law provides otherwise. IDF-SBA may assign its rights and obligations in connection with a reorganization, merger, transfer of a program or similar organizational transaction.<\/p>\n\n<p>Headings are provided for convenience and do not limit the meaning of these Terms.<\/p>\n\n<h2 id=\"changes\">19. Changes to These Terms<\/h2>\n\n<p>We may update these Terms as our programs, services, technology or legal obligations change. The \"Last Updated\" date at the top identifies the current version.<\/p>\n\n<p>If a change is material, we may provide additional notice through the Site, account, email or another reasonable method. Changes apply prospectively to the extent required by law.
